Acceptance of Terms

By accessing or using TensorCortex ("Service"), operated by Tensor Cortex LLC ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms. We will notify registered users of material changes via email or in-app notice.

Description of Service

TensorCortex provides a centralized memory infrastructure and AI-powered retrieval system. The Service allows users to:

• Upload and store documents, notes, and files
• Index content using vector embeddings and full-text search
• Query stored content using natural language through an AI interface
• Export their data at any time

The Service is provided on an as-is basis and may be modified, updated, or discontinued at our discretion.

User Accounts

To use the Service, you must create an account through our authentication provider. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You agree to provide accurate and complete information when creating your account and to update this information as necessary. You must be at least 18 years of age to use the Service.

Acceptable Use

You agree not to use the Service to:

• Upload, store, or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Violate any applicable local, state, national, or international law or regulation
• Infringe upon the intellectual property rights of any third party
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to store or process content that contains malware, viruses, or other harmful code
• Use automated tools to scrape, crawl, or extract data from the Service without prior written consent

User Content & Data

You retain all ownership rights to the content you upload to the Service. By uploading content, you grant us a limited, non-exclusive license to process, store, index, and retrieve your content solely for the purpose of providing the Service to you.

You are solely responsible for the content you upload and must ensure you have the right to upload and process such content. We do not claim ownership of your content and will not use it for purposes other than providing the Service.

You may export or delete your data at any time. Upon account deletion, we will remove your content from our active systems within 30 days, though backup copies may persist for a limited period as part of standard infrastructure operations.

Intellectual Property

The Service, including its original content, features, and functionality, is owned by Tensor Cortex LLC and is protected by international copyright, trademark, and other intellectual property laws.

The TensorCortex name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Tensor Cortex LLC. You may not use these marks without our prior written permission.

Data & Privacy

We take the privacy and security of your data seriously. Your uploaded content is stored securely and is accessible only to you through authenticated access to the Service.

We do not sell, share, or provide your content to third parties, except as necessary to operate the Service (e.g., cloud infrastructure providers, embedding model providers for content processing). We process your content solely to provide search and retrieval functionality.

User sovereignty is a core principle of the Service. You can export all your data at any time in standard formats, with no vendor lock-in.

AI Processing Disclaimer

The Service uses artificial intelligence and machine learning technologies to process, index, and retrieve your content. AI-generated responses are provided for informational purposes only and should not be relied upon as professional, legal, medical, or financial advice.

While we strive for accuracy, AI-generated outputs may contain errors, omissions, or inaccuracies. You are responsible for independently verifying any information obtained through the Service before making decisions based on it.

Your content may be sent to third-party AI model providers for embedding and inference purposes. These providers process your data according to their respective terms and privacy policies. We select providers that offer appropriate data handling practices, but we cannot guarantee how third parties process data once transmitted.

Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes or planned discontinuation.

Limitation of Liability

To the maximum extent permitted by applicable law, Tensor Cortex LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the Service.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or one hundred US dollars ($100), whichever is greater.

Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will cease immediately. We will retain your data for up to 30 days following termination to allow for data export, after which it will be deleted from our active systems.

General Provisions

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with applicable arbitration rules.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

These Terms constitute the entire agreement between you and Tensor Cortex LLC regarding the Service and supersede any prior agreements. Questions about these Terms should be directed to legal@tensorcortex.com.
